Company Law

Company Law is central to our daily practice. We are regularly consulted by SME’s in order to accompany them in every step of their development.
We are active in the following specific areas:
  • Set-up of companies;
  • Capital increase and other operations related to the capital;
  • Share (or asset) purchase agreements (including transfer or contribution of business branches or universalities);
  • Mergers, demergers and restructuring of companies;
  • Dissolution and liquidation of companies;
  • Drafting shareholder’s agreement and guaranties;
  • Drafting of management’s agreement.
We also intervene in case of internal conflict within the company: we endeavour to resolve this by mutual agreement. In specific cases, due to the urgent nature of the matter at hand, we set up formal proceedings
